BEITEN BURKHARDT ADVISES PHARMACEUTICAL COMPANY ZAMBON ON THE SALE OF ITS DISTRIBUTION ACTIVITIES TO AND FUTURE COOPERATION WITH THE PIERRE FABRE GROUP

Munich, 2 April 2007 - The international law firm Beiten Burkhardt has advised Zambon GmbH, Kerpen, on the sale of certain assets of its distribution activities to Pierre Fabre Pharma GmbH, Freiburg/Breisgau and the subsequent future cooperation between the parties. The economic data of the overall transaction were not disclosed. The transaction has been cleared by the Federal Cartel Office.
As part of the asset deal, Pierre Farbe shall assume the staff, the inventory and any contracts with third parties from Zambon. Furthermore, affiliated companies of Zambon GmbH entered into agreements with Pierre Fabre GmbH regarding the distribution of Zambon products.
Zambon GmbH is the German distribution company of the Italian Zambon S.p.A., a globally-operating family-owned pharmaceutical company. The Zambon Group posts annual sales of around 500 million Euro. The Pierre Fabre Group is a globally active, French pharmaceutical company with estimated annual sales in 2006 of 1.58 billion Euro.
The transaction was handled by an interdisciplinary team from Beiten Burkhardt's Munich office, including partner Dr. Jack Schiffer (lead) and salary partner Insa Cornelia Müller (both corporate law), partner Philipp Cotta (competition law), partner Dr. Hans-Peter Mechlem (labour law) as well as salary partners Dr. Christian Paul and Katrin Lüdtke (both pharmaceutical law). Mario Galbiati, Group Legal Director Zambon S.p.A., was active on behalf of Zambon.
