On 29 June 2012, Melrose PLC announced that is has reached agreement with Elster Group SE on the terms of a recommended proposal whereby Mintford AG, a wholly-owned subsidiary of Melrose, will acquire for cash the entire issued ordinary share capital of Elster Group SE. The acquisition will be implemented principally by a US tender offer to all holders of Elster American Depositary Shares listed on the New York Stock Exchange and Elster shares at a price of US$ 20,50 per Elster ADS and US$ 82,00 per Elster share (approximately, US$ 2.3 billion in aggregate).
